Golden Goose Resources Corp

VANCOUVER, B.C., October 29, 2026— TheNewswire - Golden Goose Resources Corp. (CSE: GGR) (the "Company"), is pleased to announce that it has closed the first tranche of its previously announced non-brokered private placement for aggregate proceeds of $1,033,000 (the "First Tranche") through the issuance of an aggregate of 10,330,000 units of the Company (the “Units”).

“We are pleased to have completed the first tranche of our private placement and grateful for the continued support of our shareholders and investors. The funds will enable us to advance exploration at our Gran Esperanza property while supporting our ongoing corporate and working capital requirements. We remain focused on creating value through disciplined exploration and the systematic advancement of our mineral projects,” said Dustin Nanos, CEO and Director of Golden Goose Resources Corp.

Each Unit issued pursuant to the First Tranche consists of one common share in the capital of the Company (each, a "Common Share") and one half of one transferrable common share purchase warrant of the Company (each whole warrant, a "Warrant"). Each Warrant will entitle the holder thereof to purchase one Common Share (each, a "Warrant Share") at a price of $0.20 per Warrant Share until 5:00 p.m. (Vancouver time) on October 29, 2028, subject to the Warrant Acceleration Right (defined below). Each Warrant will be subject to an acceleration right (the "Warrant Acceleration Right") exercisable by the Company, if for any ten consecutive trading days the daily volume weighted average trading price of the Common Shares on the Canadian Securities Exchange ("CSE") is $0.35 or greater per Common Share. If the Company exercises its Warrant Acceleration Right, the new expiry date of the Warrants will be the 30th day following the news release providing notice of such exercise.  The Company paid an aggregate of $24,090 in cash finder’s fees and issued 240,900 broker warrants (each, a “Broker Warrant”) to eligible finders in connection with the First Tranche. Each Broker Warrant is exercisable into one Common Share on the same terms as the Warrants. The Company intends to use the proceeds of the First Tranche towards funding exploration at its Gran Esperanza property, for general working capital purposes which may include marketing and investor relations expenses and to settle ordinary course payables to related parties.

The securities issued in connection with the First Tranche, and the underlying securities, are subject to a hold period expiring on March 2, 2027. The First Tranche is part of a non-brokered private placement of up to 15,000,000 Units for aggregate gross proceeds of up to $1,500,000 that was previously announced on October 14, 2026. The Company retains the right to close additional tranches of the private placement and to raise up to an additional $2.5 million on a private placement basis through the issuance of up to an additional 25,000,000 Units on the same terms as the private placement, subject to compliance with applicable securities laws and CSE policies.

This news release does not constitute an offer to sell or a solicitation of an offer to buy any securities in any jurisdiction in which such offer, solicitation or sale would be unlawful.

Dustin Nanos, a director and officer of the Company, participated in the First Tranche and indirectly acquired an aggregate of 1,200,000 Units through a holding company for an investment of $120,000, and Troy Baker, a director of the Company, acquired 500,000 Units for an investment of $50,000. Such participation constituted related party transactions within the meaning of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company relied upon the exemptions from the formal valuation and minority shareholder approval requirements contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, respectively, as neither the fair market value of the securities issued to, nor the consideration to be paid by, such related parties exceeded 25% of the Company's market capitalization, as determined in accordance with MI 61-101. The Company did not file a material change report more than 21 days before the expected closing of the First Tranche because the Company wished to complete the First Tranche on an expedited basis for sound business reasons.
